Getting started

What do I need to send to form a US LLC from abroad?

A passport copy and a recent proof of address for each member, a short description of the business and the ownership split between members. That is enough for the state filing and the EIN application. If a member is a company, we also need its registry documents and the names of the people who own or control it.

When does a non-US owner actually need an ITIN, and how long does it take?

Only when you personally have a US federal tax purpose and cannot get a Social Security Number, for example to file your own US tax return. You apply on Form W-7. The IRS asks you to allow 7 weeks, or 9–11 weeks if you apply from abroad or during tax season (15 January to 30 April). Forming the LLC and getting its EIN do not wait for it.

Do I have to register my LLC in the states where I sell?

Not usually for online sales from abroad. You register in another state when you do business there, for example with staff, an office or stock in a warehouse. Registering a foreign LLC costs US$200 in Delaware as of September 2026, and every other state, Wyoming included, sets its own fee and its own test for doing business.

What does a Delaware C-Corporation pay the state each year?

An annual report and franchise tax, due by 1 March. Under the authorized shares method the tax starts at US$175, plus a US$50 filing fee, and it rises with the number of authorized shares, so check the method that gives the lower figure. This is separate from our renewal, and we show it before each due date.

How long does it take?

3–7 business days after we approve your know-your-customer (KYC) documents for the state filing, depending on the state's processing time. The EIN follows: the IRS says a faxed Form SS-4 is generally answered within 4 business days and a mailed one in about 4 weeks.

Do I need to travel to the US?

No. Formation, KYC and the EIN application are all done remotely, and the IRS accepts Form SS-4 from international applicants by phone, fax or mail. Some US account providers may ask for a video call, and we tell you before you apply.

Do I need an SSN or ITIN?

No. You can form the LLC and get an EIN without a US Social Security Number (SSN) or an Individual Taxpayer Identification Number (ITIN). International applicants apply for the EIN with Form SS-4 by phone, fax or mail. An ITIN is needed only in some personal tax situations, and we offer it as an add-on.

When is Form 5472 due for a foreign-owned single-member LLC?

With the pro forma Form 1120, by the Form 1120 due date: 15 April for a calendar year, or 15 October if you file Form 7004 for an extension first. It is sent by fax or mail to a dedicated IRS unit, not through normal e-file. Keep a record of every transfer between you and the LLC during the year, because the form reports them.

What is Form 5472 and do I need it?

Form 5472 is a required IRS information return that reports transactions between a US company and its foreign owner. A foreign-owned single-member LLC files it every year with a pro forma Form 1120, even with no US income, and the penalty for not filing is US$25,000 per failure (IRS Instructions for Form 5472). Our preparation service is an add-on, quoted separately; no package includes it.

What happens if my application is refused?

If we cannot incorporate your company, we refund the service fee (minus courier costs). State filings are rarely refused; the usual issue is a name already in use, and we check that before filing.

Pricing & payment

How much does it cost to form a US LLC as a non-resident?

Starter is US$1,699 all-in for year 1, with the state filing fee and registered agent included. Growth is US$4,599 and adds the application for an Employer Identification Number (EIN, the company's US tax number), a US mailing address and a bank-account introduction. Premium is US$5,199. The price is the same in all 50 states and DC.

Are there hidden fees?

No, but some costs sit outside Starter and we show them before you pay. Each state charges its own annual tax or report fee. Form 5472 with a pro forma Form 1120 is a required IRS filing every year for a foreign-owned single-member LLC; our service to prepare it is an add-on, quoted separately and not included in any package. On Starter the EIN application is not included; Growth adds it.

What does year 2 cost?

From US$799 a year on Starter for the registered agent and our compliance service, plus the state's annual tax or report fee, which we show on your quote. The state fee is set by law and differs by state.

Banking

What will a US account provider ask my LLC for?

Usually the EIN confirmation letter from the IRS, the certificate of formation or articles of organization, the operating agreement and each owner's passport. Expect questions about your products, customers and where you live. Answer them the same way you described the business at formation, because providers compare the two.

Business account support

Can I connect Stripe, Shopify Payments or Amazon US once the account is open?

Usually yes, but each platform runs its own review. Platforms ask for the EIN, the LLC's details and a US bank or fintech account in the company's name, and may ask for proof of address or identity again. We cannot decide for a platform; we make sure your company documents are consistent before you apply.

Can you open a US bank account for my LLC?

We introduce you to US fintech account providers that accept non-resident owners and prepare the application. The provider decides. You will need the EIN first, so it helps to choose Growth, which includes it.

Compliance

When do I pay the US renewal, and is the state tax on the same invoice?

Our renewal of US$799 on Starter covers the registered agent and our compliance service and is invoiced before your formation anniversary. The state annual tax or report fee has its own legal due date, so we remind you of it separately with the exact figure. Pay either one by card, PayPal or wire on Renew & pay.

Will my LLC pay US tax?

Not at the LLC level by default: a single-member LLC is disregarded for federal income tax, so any tax falls on you as the owner. You owe US income tax mainly if the income is effectively connected with a US trade or business, broadly income from business activity carried on in the US. Get advice from a US tax adviser before you start trading, and check how your home country treats the LLC.

What happens if my Delaware LLC misses the 1 June tax?

Delaware adds a US$200 penalty plus interest of 1.5% a month on the tax and penalty. The US$400 annual tax applies to every LLC on the register at any point in the year, with no proration, even if it had no income. Unpaid tax also stops the LLC being in good standing, which banks check.

Do I have to file a beneficial ownership information (BOI) report with FinCEN?

No, not for a company formed in the US. The Financial Crimes Enforcement Network (FinCEN) exempted US-formed companies by an interim final rule in March 2025, and a final rule effective 14 August 2026 made the exemption permanent (FinCEN, as of September 2026). Only companies formed abroad and registered to do business in a US state still report.

Who handles my file?

One IBC Limited, the Hong Kong Trust or Company Service Provider behind OCC (licence TC001305), handles your file and works with a registered agent in your state of formation. You upload documents and follow each step in your client portal, and we reply to messages within 1 business day.

After incorporation

How do I close a US LLC properly?

File a certificate of cancellation in Delaware or articles of dissolution in Wyoming, after paying any state tax or report fee that is due. Then file the final Form 5472 and pro forma 1120 for the last year and close the EIN account with the IRS. Leaving the LLC to lapse keeps Delaware tax and IRS filing duties running (confirm the steps for your case with your specialist).
