Getting started

I have verified my identity with Companies House. What do I do with the personal code?

Send it to us so we can include it in the incorporation filing. The code belongs to you, not to a company, and you reuse it for every UK role you hold, including a later director appointment. Share it only with people you trust to file for you, as you would a tax reference.

What makes Companies House reject a company name?

The name must end in Limited or Ltd, and it cannot be the same as an existing name once punctuation and common words are ignored. Words that suggest a link to government, such as Accredited, need permission from the relevant body first. Offensive names are refused, and a name found too like an older one after a complaint may have to change.

Why pay more than registering directly with Companies House?

You can register online yourself for £100. A non-resident usually also needs a UK registered office that meets the address rules, help with identity verification, and someone tracking four annual deadlines. Our package covers those, and every item is on your quote.

How long does it take?

Registered from 1 business day after we approve your know-your-customer (KYC) documents and your Companies House identity verification is complete. Companies House usually registers online filings within 24 hours. The identity check is the step that most often adds time, so start it early.

Do I need to verify my identity with Companies House?

Yes. Since 18 November 2025 every new director and person with significant control must verify their identity. You can do it free through GOV.UK One Login, or through an Authorised Corporate Service Provider, which may charge a fee. You then receive a personal code that links you to the company.

Do I need to travel to the UK?

No. Incorporation and identity verification can be done from abroad. A UK bank account is not a legal requirement, and many non-residents start with an account at an electronic money institution (EMI, a licensed payment-account provider).

Can I charge VAT while I wait for my UK VAT number?

Not on the invoice. Until the 9-digit VAT number arrives by post, you can raise your prices to cover the VAT, then reissue the invoices showing VAT once you have the number. You owe VAT from your effective date of registration, which HMRC confirms in the same letter.

What details are public?

Directors' names and service addresses, shareholders and people with significant control appear on the Companies House register. Your home address can stay off the public record if you give a service address. The registered email address is not published.

What happens if my application is refused?

If we cannot incorporate your company, we refund the service fee (minus courier costs). Companies House can reject a name or an application with unverified officers, and we check both before filing.

Pricing & payment

How much does it cost to form a UK company as a non-resident?

Starter is US$1,099 all-in for year 1, including the £100 Companies House fee, a UK registered office and identity verification guidance. Growth is US$4,599 and adds mail scanning and a bank-account introduction. Premium is US$5,899 and adds 12 months of bookkeeping and the year-2 annual filing.

What does year 2 cost?

From US$1,129 a year on Starter, including the registered office and the £50 confirmation statement fee. Annual accounts and the Company Tax Return (CT600) are a separate service because their cost depends on your activity.

Banking

What should I have ready before applying for a UK business account?

The certificate of incorporation, your registered office address, passport and proof of address for each director and major shareholder, and a clear description of what the company sells and to whom. Expect questions on expected monthly volumes and the countries you pay or get paid from. A website or signed contracts make the case stronger.

Can I apply for the business account before the company is registered?

No. Banks and payment institutions need the company number and certificate of incorporation, so the application starts once Companies House registers the company. We prepare your application pack in the meantime so it can go in the same week.

Compliance

What tax does a UK company pay?

Corporation Tax is 19% on profits up to £50,000 and 25% on profits over £250,000, with marginal relief in between. VAT registration becomes compulsory once taxable turnover passes £90,000 in 12 months (HMRC, as of September 2026). A UK-incorporated company is UK tax resident, and the country it is managed from may also treat it as resident there.

When will HMRC send the company's tax reference?

HMRC posts the 10-digit Unique Taxpayer Reference (UTR) to the registered office after incorporation. If it has not arrived 15 working days after registration, you can request it online. The activation code for the online Corporation Tax service follows within 10 days, or 21 days if you live abroad.

What must I file every year?

Four items, and we track all four dates. Companies House gets a confirmation statement at least every 12 months and annual accounts within 9 months of the accounting reference date (first accounts within 21 months of incorporation). HMRC gets the Corporation Tax payment 9 months and 1 day after the accounting period ends, and the Company Tax Return (CT600) within 12 months.

Who handles my file?

One IBC Limited, the Hong Kong Trust or Company Service Provider behind OCC (licence TC001305), handles your file. You upload documents and follow each step in your client portal, and we reply to messages within 1 business day.

After incorporation

Do shareholders who are not directors also need a personal code?

Yes, if they are a person with significant control, for example anyone with more than 25% of the shares or voting rights. Each of them verifies their identity, then has a 14-day window to give Companies House their personal code for that role.

Can a non-resident be the only director?

Yes. A private company needs at least one director aged 16 or over, and directors do not need to live in the UK. At least one director must be an individual, and a company secretary is optional.

How quickly must I report a new director or a new shareholder?

Director appointments, resignations and changes to their details go to Companies House within 14 days, and so do changes to people with significant control. New shares must be reported within a month of issue. A new director gives their personal code as part of the appointment filing, so they should verify their identity first.

What happens after I apply to strike off a UK company?

Companies House checks form DS01, which a majority of directors must sign, and publishes a notice in The Gazette. If nobody objects, the company is struck off once the 2 months in the notice have passed. The company must not have traded or changed its name in the 3 months before you apply, and you lose access to its bank accounts once it is struck off.
