Getting started

What documents does RAK ICC need to form my company?

A passport copy and a recent proof of address for each shareholder, director and beneficial owner, a short description of what the company will hold or do, and a source-of-funds statement. If the company will buy UAE property, tell us the project, because the land department may ask for more. Upload everything in the client portal after checkout.

Why does a RAK ICC company need a registered agent?

Because RAK ICC registers international companies only through approved registered agents, and every company must keep a registered agent and registered office in the UAE. The agent files documents with RAK ICC, holds the statutory registers and runs due diligence on the owners. We act through an approved registered agent for you.

How long does it take?

Usually 3–7 days after KYC approval. RAK ICC reviews each shareholder and director, and a property-holding company may need extra documents.

Do I need to travel to the UAE?

No, not to form the company. Formation is remote and you upload KYC documents in our client portal. A UAE bank may still ask to meet a signatory.

Can it use Small Business Relief?

Yes, if it meets the conditions. A resident business with revenue of AED 3,000,000 or less can elect Small Business Relief, now extended to tax periods ending on or before 31 December 2029. It still files a return to claim it.

Can I get a UAE residence visa with a RAK ICC company?

No. A RAK ICC company does not lease an office and cannot sponsor visas. If you need a visa, look at a free zone company such as DMCC or a mainland LLC.

Can a RAK ICC company own property in Dubai?

Yes, in approved freehold areas, which is a common use. The land department in the relevant emirate sets which areas and property types a RAK ICC company can hold (confirm with your specialist).

Can I move my RAK ICC company to OCC from another agent?

Yes. We complete KYC, the company resolves to change its registered agent, and the change is filed with RAK ICC through the new approved agent. Your current agent must be paid up to date and release the records. Plan the move away from the renewal date, so the renewal is not missed during the handover.

Transfer your company

What if you cannot incorporate my company?

If we cannot incorporate your company, we refund the service fee (minus courier costs). We check your activity and owners before you pay.

Pricing & payment

How much does a RAK ICC company cost with OCC?

From US$1,390 all-in for year 1, with RAK ICC registration fees and our registered agent service included. Year 2 renews from US$1,000, shown before you pay.

Are there hidden fees?

No. Your quote lists the RAK ICC fees, registered agent and office, and our service fee. Optional items such as certified copies, apostilles or accounting are priced before you order them.

Are property registration costs part of the RAK ICC price?

No. Our price covers forming and maintaining the company. Land department transfer fees, trustee or registration charges and any no-objection letters for a property purchase are set by the emirate where the property sits and are paid on the transaction. Ask for a quote once you know the project.

Banking

Is it harder for a RAK ICC company to get a UAE bank account?

Sometimes, but it is harder than for a DMCC or mainland company, because there is no office, trade licence or UAE-resident manager. Banks that accept RAK ICC companies usually want a clear holding purpose, such as UAE property or shares in an operating company, and full source-of-wealth evidence. We also look at options outside the UAE; the bank decides.

Business account support

What documents should a RAK ICC company prepare for a bank?

The certificate of incorporation, memorandum and articles, registers of directors and members, a recent certificate of incumbency and the owners' passports and proof of address. Add a structure chart and a short explanation of what the company holds. For a property holding company, the title deed or sale agreement helps the bank see the purpose.

Can you open a bank account?

We introduce you to suitable UAE or international banks and payment institutions and prepare the application. The bank decides. Without an office or UAE resident, some UAE banks may decline, so we also look at options outside the UAE.

Compliance

Does a RAK ICC company pay UAE corporate tax?

It falls within UAE Corporate Tax because it is incorporated in the UAE. The rate is 0% on taxable income up to AED 375,000 and 9% above that. It must register with the Federal Tax Authority and file a return within 9 months of each tax period end.

When must a RAK ICC company register for corporate tax?

Generally within 3 months of incorporation, even if it will pay nothing, because it is a UAE-incorporated company (confirm your date with your specialist). Late registration carries an AED 10,000 penalty, which the Federal Tax Authority may waive if the first return is filed within 7 months after the first tax period ends. We register the company as part of setup.

Does a RAK ICC company still file economic substance reports?

Not for financial years starting after 31 December 2022, following Cabinet Resolution No. 98 of 2024. Earlier years can still be reviewed, so close any open 2019–2022 filings. Substance now matters mainly through corporate tax rules.

Is an audit required?

RAK ICC does not require audited accounts for a standard international company, but you must keep accounting records. Corporate tax rules require audited statements once revenue passes AED 50,000,000.

After incorporation

My shareholder is a foreign company. Do its documents need legalising?

Usually yes. The UAE is not a party to the Hague Apostille Convention, so a foreign company's certificate, register extract or board resolution is certified by its home country's foreign ministry, then by the UAE embassy there, and then by the UAE Ministry of Foreign Affairs. We tell you exactly which documents need this before you start.
