Getting started

What does the Panama resident agent need from me?

A passport copy and a recent proof of address for each director, officer, shareholder and beneficial owner, a short business description and a source-of-funds statement. The resident agent, a Panamanian lawyer or law firm, runs its own due diligence before it files. If you will not supply three directors, tell us at checkout so we can arrange a professional director service disclosed to the registry.

Why are the Panama articles in Spanish, and who signs them?

Panamanian company law is civil law written in Spanish, so the articles of incorporation are drafted in Spanish and signed before a Panamanian notary, then registered with the Public Registry. The company exists from the date of registration. You receive an English translation with the registered articles, so you can check what was filed.

Can Panama company documents be apostilled?

Yes. Panama has been a party to the Hague Apostille Convention since 1991, so apostilled Panamanian documents are accepted in other member countries without consular legalisation. Banks abroad usually want the registered articles and a recent registry certificate with an apostille, plus a certified translation if they do not read Spanish.

How long does it take?

Usually 5–7 days after KYC approval. The resident agent completes due diligence first, then the articles are notarised and registered with the Public Registry.

Do I need to travel to Panama?

No, not to form the company. Formation is remote and you upload KYC documents in our client portal. Some Panamanian banks ask to meet signatories in person.

What does the EU list mean for my company?

Panama is on the EU list of non-cooperative jurisdictions for tax purposes (February 2026). EU countries apply defensive measures, such as refusing deductions or applying extra withholding tax on payments to Panama, and EU banks and counterparties may apply extra checks. We tell you which apply to your plan before you pay.

Is Panama on the FATF grey list?

No. Panama left the FATF list of jurisdictions under increased monitoring in October 2023, and the EU removed it from its AML high-risk third country list in 2025. The EU tax list is a separate list, and Panama remains on it.

What does a Panama company name need to include?

The words Sociedad Anónima or the abbreviation S.A., and a name that is not already registered. The resident agent checks availability with the Public Registry before the articles are signed (confirm any restricted words with your specialist). Give us up to three names at checkout.

How do I move my Panama company to a new resident agent?

The board or shareholders resolve to appoint the new resident agent, and the resolution is notarised and registered with the Public Registry. We complete KYC first, and the outgoing agent hands over the beneficial ownership and accounting-record information it holds once its fees are paid.

Pricing & payment

How much does a Panama company cost with OCC?

From US$2,099 all-in for year 1, with Public Registry fees and the resident agent included. Your quote shows whether the first annual franchise tax is included. Year 2 renews from US$2,169, shown before you pay.

Are there hidden fees?

No. Your quote lists registry fees, the franchise tax, resident agent and our service fee. Director services, apostilles and accounting are priced as separate lines before you order them.

How do I pay the Panama renewal?

We invoice before the franchise tax date, with the tasa única, the resident agent and our service as separate lines, plus any director service you use. Pay by card, PayPal or wire in the client portal or on Renew & pay. With a wire, send it early so the tax is paid before 15 January or 15 July.

Banking

Will a Panamanian bank want to meet me?

Some will. Panamanian banks often ask to meet the signatories in person or by video, and they review powers of attorney closely. If a director or attorney will operate the account, we set out who holds which powers so the bank sees a clear picture. The bank decides.

Business account support

Can a Panama company bank in Europe?

It is harder. Panama is on the EU list of non-cooperative jurisdictions for tax purposes (February 2026), so many EU banks and payment providers decline Panama companies or apply enhanced checks. Institutions in Panama, Latin America or Asia are often more realistic, and we shortlist those that currently accept your profile.

Do I need to keep accounts?

Yes. Under Law 254 of 2021, the company keeps accounting records and gives them, or details of where they are kept, to the resident agent each year. Fines for missing this can be high, and the company can be suspended.

Can you open a bank account?

We introduce you to suitable banks or payment institutions, in Panama or elsewhere, and prepare the application. The bank decides. The EU list can make EU banks more cautious, so we plan for that.

Compliance

When is Panama's annual franchise tax due, and what if it is late?

The tasa única is PAB 300 a year (the balboa is at par with the US dollar). A company registered between January and June pays by 15 July; one registered between July and December pays by 15 January. Late payment adds a PAB 50 surcharge, and after three unpaid years the company is suspended and pays a PAB 1,000 fine to be reinstated.

Does my Panama S.A. need to file income tax returns?

It depends on its income. A company that earns Panama-source income registers with the tax authority (DGI) and files an annual income tax return. A company whose business is carried on entirely outside Panama usually has lighter tax filings there, but it still pays the franchise tax and keeps accounting records (confirm your position with your specialist).

Does a Panama company pay tax?

Panama taxes only income from Panama sources, at 25% for companies. Income from business done entirely outside Panama is not taxed there, subject to residency rules. Your own country may still tax the company or you, so take advice where you live.

After incorporation

Why does a Panama S.A. need 3 directors?

Panamanian law requires at least 3 directors, plus a president, secretary and treasurer. One person can hold several officer roles. If you do not have 3 people, we arrange a professional director service disclosed to the registry.

Are the directors public?

Yes. Directors, officers and the resident agent appear in the Public Registry. Shareholders are not registered publicly, and beneficial owners are filed with the resident agent in a private system that authorities can access.
