Getting started

What does a Cayman provider ask for before it will form the company?

More than most registries. For every director, shareholder and beneficial owner we need a passport, a recent proof of address and usually a professional or bank reference. We also need a short statement of source of funds and source of wealth, and a group chart if the company sits inside a structure. Clear, consistent documents are what keep the 3–5 business day timeline.

Can Cayman company documents be apostilled for use abroad?

Yes. The Cayman Islands are covered by the Hague Apostille Convention through the United Kingdom, so apostilled Cayman documents are accepted in other member countries without consular legalisation. Banks, lenders and foreign registries often ask for an apostilled certificate of incorporation and a recent certificate of good standing.

How long does it take?

3–5 business days after we approve your know-your-customer (KYC) documents. Incorporation has three steps: reserve the name, file the memorandum and articles, and return signed consents. Names with restricted words need approval first and take longer.

Do I need to travel to the Cayman Islands?

No. The registered office provider files everything, and KYC is done remotely. You do not need to visit to form or run an exempted company.

How is beneficial ownership kept up to date for a Cayman company?

Through the registered office provider, which files the information on the government's central platform. A beneficial owner is anyone holding more than 25% of the shares or votes, or who can appoint or remove most of the board. Tell us about changes as soon as they happen: failing to keep the information current can lead to strike-off.

Does my Cayman company have its own CRS or FATCA reporting?

Only if it counts as a financial institution, such as an investment fund. Those entities register with the DITC and report accounts under the Common Reporting Standard and FATCA. A simple holding company is usually not a financial institution, but its bank will still report it, so the owners' home tax offices should expect to see it (confirm your classification with your specialist).

Who can see who owns my company?

Not the general public. Beneficial ownership is filed on the government's central platform, and members of the public can see it only if they meet the legitimate interest criteria under the 2024 Regulations. The Registrar will show the list of current directors to anyone who pays a KYD 50 inspection fee.

How do I move my Cayman company to OCC from its current provider?

We complete KYC on the owners, the company appoints the new registered office provider, and the change of registered office is filed with the Registrar. The current provider releases the registers and records once its fees are settled. Plan the move away from January, when the annual return is due, so nothing is missed in the handover.

What happens if my application is refused?

If we cannot incorporate your company, we refund the service fee (minus courier costs). A refusal usually happens when the source of funds or wealth cannot be evidenced, when an owner appears on a sanctions list, or when the planned activity needs a licence the company cannot get.

Pricing & payment

How much does a Cayman exempted company cost?

Starter is US$3,399 all-in for year 1, including the registry fee and the registered office. Growth is US$4,799 and adds a bank-account introduction and mail scanning. Premium is US$5,699 and adds director services (disclosed to the Registrar and authorities), bookkeeping and the year-2 annual return filing.

What does it cost from year 2?

From US$4,487 a year on Starter. That covers the annual government fee, the registered office, the January annual return and the economic substance notification. An economic substance return, needed only if the company carries on a relevant activity, is quoted separately.

Are there hidden fees?

No, but two things can raise the cost, and we flag both before you pay. The government fee rises with authorised share capital: Starter assumes the lowest band, up to KYD 42,000 (Cayman Islands dollars). A return and fee paid after 31 March also add a penalty of 33.33% to 100% of the annual fee.

Why does a Cayman company cost more to run?

Mainly because of government fees. In the lowest band, the Cayman incorporation fee is KYD 700 and the annual fee KYD 925 (Companies Act, 2026 Revision, as of September 2026). For funds, listing vehicles and institutional investors, those costs are usually expected.

Banking

Can I use words like fund, bank or trust in a Cayman company name?

Only with approval. The General Registry reserves the name first, and a name containing restricted words needs consent from the Registrar or the Cayman Islands Monetary Authority before the company can be filed. That approval adds time, so if the word is not essential, choose a plain name and describe the activity in your documents instead.

Which Cayman company documents should I have ready for the bank?

The certificate of incorporation, memorandum and articles, register of directors, register of members and a structure chart, plus source-of-wealth evidence for each beneficial owner. Banks increasingly ask for the latest economic substance notification receipt as well. We prepare the pack with you on Grow and Premium, and the bank makes the decision.

Can a Cayman company open a bank account?

Yes, and banks generally know the structure well, especially for funds and holding vehicles. We introduce you and prepare the application on Growth and Premium. The bank decides.

Compliance

My Cayman company only holds investments. Does it still file with the DITC?

Yes. Exempted companies file an economic substance notification with the Department for International Tax Cooperation each year, even when the answer is that they carry on no relevant activity. A company that does carry on one, such as holding, headquarters or financing business, also files an economic substance return showing its activity in Cayman (confirm the filing dates for your year end with your specialist).

Do I pay tax in Cayman?

The Cayman Islands charge no corporation, capital gains, payroll, property or withholding taxes. You or the company may still owe tax where you live or where it is managed, so check your home rules with a tax adviser.

Is an audit required?

Not for a standard exempted company. Regulated entities, such as funds registered with the Cayman Islands Monetary Authority, have audit requirements. Every company must still keep proper books and records.

What happens if a Cayman company keeps missing its annual return?

The Registrar can strike it off, and a struck-off company's assets can pass to the government. Restoring it takes an application, the unpaid fees and penalties, and sometimes a court order (confirm the route for your case with your specialist). If the company has done its job, a planned strike-off or voluntary winding up closes it cleanly instead.

Who handles my file?

One IBC Limited, the Hong Kong Trust or Company Service Provider behind OCC (licence TC001305), handles your file and works with a licensed Cayman registered office provider for the filing. You upload documents and follow each step in your client portal, and we reply to messages within 1 business day.

After incorporation

What if my Cayman company needs a larger authorised share capital?

You move into a higher government fee band. Above KYD 42,000 and up to KYD 820,000 of authorised capital, the incorporation fee is KYD 1,000 and the annual fee KYD 1,225, instead of KYD 700 and KYD 925. The higher annual fee repeats every year, so we set the capital at what you will actually issue and quote any higher band before you pay.

Why does my Cayman renewal invoice arrive before January?

Because the annual return and annual fee are due to the Registrar in January, and late payment is costly. Paying between 1 April and 30 June adds 33.33% of the annual fee, between 1 July and 30 September 66.67%, and after that 100%. We invoice ahead so the return is filed on time; you can pay by card, PayPal or wire on the Renew & pay page.
