Getting started

What do I need to send to incorporate in Canada?

A passport copy and a recent proof of address for every director, shareholder and individual with significant control, the residential address of each director and a short business description. For a federal corporation, include the details of at least one resident Canadian director. If a shareholder is a company, add its registry documents and the people who control it.

How do I choose a name for a federal Canadian corporation?

Either a word name with a legal element such as Limited, Ltd., Incorporated, Inc., Corporation or Corp., or a numbered name such as 1234567 Canada Inc. A word name needs a NUANS name search report before filing; a numbered name does not, so it is faster and can be changed later by articles of amendment.

Can Canadian corporate documents be apostilled?

Yes, since 11 January 2024, when the Hague Apostille Convention entered into force for Canada. Before that date, Canadian documents needed consular legalisation. An apostilled certificate of incorporation or certificate of compliance is now accepted in other member countries without further steps.

How long does incorporation take?

Usually 1–3 business days after KYC approval. Corporations Canada processes online filings quickly; the name search and your director details are what set the pace.

Do I need to travel to Canada?

No, not to incorporate. Formation is remote and you upload KYC documents in our client portal. Some banks ask to meet directors, in person or by video, before opening an account.

What is the individuals with significant control register?

It lists the people who own or control 25% or more of the corporation. Since 22 January 2024, federal corporations file this information with Corporations Canada, and some of it is public. You can give an address for service instead of a home address.

What if you cannot incorporate my company?

If we cannot incorporate your company, we refund the service fee (minus courier costs). We tell you early if the name, the resident director rule or KYC is a problem.

Pricing & payment

How much does a Canadian corporation cost with OCC?

From US$1,290 all-in for year 1, with government filing fees included. Year 2 renews from US$930, shown before you pay. Provincial registration or a resident director service, if you need them, are quoted as separate lines.

Are there hidden fees?

No. Your quote lists the government fee, registered office and our service fee line by line. Accounting, tax returns and extra provincial filings are optional and priced before you order them.

How do I pay the Canadian renewal?

We send the invoice before your anniversary date, so the annual return can be filed inside its 60-day window. Pay by card, PayPal or wire in the client portal or on Renew & pay. If you want us to prepare the accounts and the T2 tax return as well, that work is quoted on its own.

Banking

What should I prepare for a Canadian business bank account?

The certificate and articles of incorporation, by-laws, the directors and shareholders registers, the ISC register, and identification for every director and signing officer. Canadian banks look for a real link to Canada, such as a Canadian address, customers or a resident director, so describe that link clearly. The bank decides.

Business account support

Can I start with a payment account while the bank reviews my file?

Often yes. Some payment and e-money providers accept Canadian corporations owned from abroad and onboard online, which lets you invoice while a bank completes its checks. Check that the provider can hold Canadian dollars and pay Canadian suppliers before you rely on it.

Can you open a Canadian bank account?

We introduce you to suitable banks or payment institutions and prepare the application. The bank decides. Canadian banks usually expect a Canadian address, a clear business link to Canada and identification of every director.

Compliance

What tax will my company pay?

The federal general rate is 15%, plus the provincial rate where the company earns income, for example 11.5% in Ontario. The 9% federal small business rate applies only to Canadian-controlled private corporations, so a company controlled by non-residents usually pays the general rate.

Can a Canadian corporation be treated as non-resident for tax?

Sometimes, but do not plan on it. A corporation incorporated in Canada is generally treated as resident in Canada for tax. Treaty rules can change this in narrow cases, so take tax advice before you rely on it.

When does a Canadian corporation have to register for GST/HST?

Once its taxable sales, together with those of associated businesses, pass C$30,000 in a single calendar quarter or over the last four consecutive quarters. From then it is no longer a small supplier and has 29 days to register. Some provinces add their own sales tax, so we flag this when we review your business model (confirm with your specialist).

Is an audit required?

Not always. A non-distributing corporation can skip the auditor if all shareholders consent in writing. You still prepare annual financial statements and file a T2 corporate tax return with the CRA.

What filings are due each year?

An annual return to Corporations Canada within 60 days after your anniversary date, with the ISC information. A T2 tax return to the CRA within 6 months of your year-end. Provinces where you register may add their own annual filing.

After incorporation

Do I need a Canadian resident director?

Yes, for a federal CBCA corporation. At least 25% of directors must be resident Canadians, and a company with fewer than 4 directors needs at least 1. Some provinces have dropped this rule, including Ontario since 5 July 2021, so we check whether a provincial corporation fits you better.

How do I close a Canadian corporation I no longer use?

File articles of dissolution with Corporations Canada once debts are paid and remaining assets distributed, and file the final T2 return with the Canada Revenue Agency. A corporation dissolved for missed filings can sometimes be revived later, but that takes more work than closing it on purpose (confirm the steps with your specialist).
