Does my Hong Kong company have to file an annual return if it is dormant?

Last updated: Oct 24, 2026, 15:06 (UTC+08:00)

Not if it has formally become dormant. A private company that has passed a special resolution declaring itself dormant and delivered it to the Companies Registry is exempt from the annual return under section 663 of the Companies Ordinance, for as long as it has no accounting transactions. A company that simply stops trading without that resolution still files within 42 days after each incorporation anniversary.
